Welcome to EloraHQ (www.elorahq.com). These Master Terms of Service govern your access to and use of the Elora platform and all related services. By accessing or using our platform, you agree to be bound by these terms. If you do not agree, you may not use the platform.
1. The Service
Elora is an ambient data layer and AI-powered documentation assistant purpose-built for frontline healthcare and social care teams. The platform converts face-to-face conversations into structured, audit-ready clinical and social care documentation.
Elora's core capabilities include:
- •Ambient voice capture and AI-assisted note generation for community health workers, care coordinators, nurses, and social workers
- •Automated coding, referral workflows, and billing-ready documentation
- •Real-time data structuring for Health-Related Social Needs (HRSN) reporting, compliance, and reimbursement
- •Integration with existing EHR and care management systems
The platform is designed to reduce documentation burden, improve data accuracy, and increase billable service capture -- enabling care teams to focus on the human relationship at the center of care.
2. Data & Privacy
Elora is a HIPAA-compliant platform. We execute Business Associate Agreements (BAAs) with all covered entities and maintain SOC 2 Type II certification. Your use of the platform is also governed by our Privacy Policy, which details how we collect, use, and protect your information.
Data with Dignity
We believe that every individual's data deserves to be treated with respect and care. Our "Data with Dignity" principle means we collect only what is necessary, we never sell personal data, we give individuals visibility into how their data is used, and we design every system to prioritize consent, equity, and trust. Your data is yours -- we are its steward, not its owner.

3. AI Documentation & Consent
Elora is not a medical provider and does not provide medical advice, diagnosis, or treatment. The platform is a documentation and workflow tool designed to assist licensed healthcare professionals.
Clinicians and care team members using Elora acknowledge and agree to the following responsibilities:
- •Patient Consent: Clinicians are responsible for obtaining appropriate patient consent before using ambient recording capabilities. This includes informing patients about the nature of the recording, how it will be used, and their right to decline.
- •AI Output Verification: All AI-generated documentation, coding suggestions, and clinical summaries must be reviewed and verified by qualified clinicians before becoming part of the official medical record. AI outputs are assistive -- not authoritative.
- •Clinical Judgment: The platform does not replace professional clinical judgment. All care decisions remain the sole responsibility of licensed providers.
- •Compliance with Local Laws: Users must ensure their use of ambient recording complies with all applicable federal, state, and local consent and recording laws.
4. SMS & Telecommunications Communications
4.1 Consent to Receive SMS Messages
By providing your mobile phone number to Elora and opting in to receive text messages, you consent to receive recurring automated and non-automated SMS/MMS messages from Elora ("Company," "we," "us," or "our") at the mobile number provided. Message types may include account notifications, transactional updates, service alerts, and promotional communications.
4.2 Opt-In
You may opt in to SMS communications by: (a) submitting your mobile number through a form on our website or application, (b) texting a designated keyword to our short code or long code, or (c) otherwise providing affirmative consent during account registration or checkout. By opting in, you confirm that you are the account holder or have the account holder's permission to enroll the number.
4.3 Opt-Out
You may opt out of SMS communications at any time by replying STOP to any message you receive from us. After opting out, you will receive a single confirmation message and no further SMS messages will be sent, except as required by law. To re-enroll, you may text START or follow the opt-in process again.

4.5 Message & Data Rates
Message and data rates may apply. Message frequency varies.
Message and data rates may apply depending on your mobile carrier plan. Elora is not responsible for charges incurred from your mobile carrier. Message frequency varies based on your activity and preferences.
4.6 Carrier Disclaimer
Carriers are not liable for delayed or undelivered messages. Elora does not guarantee the delivery of SMS messages, as delivery is subject to effective transmission from your network operator.
4.7 Supported Carriers
SMS services may not be available on all carriers. Supported carriers include, but are not limited to, AT&T, T-Mobile, Verizon, Sprint, Boost Mobile, MetroPCS, U.S. Cellular, and other regional carriers. Check with your carrier for compatibility.
4.8 Privacy
Your mobile number and SMS opt-in data will not be shared with third parties for their own marketing purposes.

4.9 Modifications
We reserve the right to modify or discontinue our SMS program at any time. We will notify you of material changes via SMS or through our website.
5. Intellectual Property
Platform Ownership: The Elora platform, including its software, AI models, algorithms, interfaces, documentation, and all related intellectual property, is and remains the exclusive property of EloraHQ, Inc. Users are granted a limited, non-exclusive, non-transferable license to use the platform in accordance with these terms.
User Data Ownership: You retain full ownership of all clinical data, patient records, and organizational data you input into the platform. EloraHQ does not claim ownership over your data and will never sell, license, or monetize user-generated clinical content.
De-identified Data: With appropriate authorization, EloraHQ may use de-identified and aggregated data to improve the platform's AI models and services, in full compliance with HIPAA de-identification standards (Safe Harbor or Expert Determination methods).
6. Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELORAHQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE PLATFORM.
EloraHQ's total aggregate liability under these terms shall not exceed the total fees paid by you to EloraHQ during the twelve (12) months preceding the claim. This limitation applies regardless of the theory of liability, whether in contract, tort, strict liability, or otherwise.
7. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising out of or relating to these terms shall be brought exclusively in the state or federal courts located in King County, Washington. You consent to the personal jurisdiction and venue of such courts.
If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
